User Obligations and Conduct
1. Account Security and Accuracy
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.
2. Acceptable Use Policy
Users agree not to use SGS Global LLC services for any unlawful purposes or to conduct any activity that would constitute a civil or criminal offense. Prohibited conduct includes, but is not limited to, the upload of malicious code, infringement of intellectual property rights, and engagement in any form of automated data collection without prior written consent.
3. Compliance with Laws
As a US-based user, you acknowledge that you are responsible for compliance with all local, state, and federal laws regarding online conduct and acceptable content. SGS Global LLC reserves the right to terminate access for users found to be in violation of these governing regulations.
Intellectual Property Rights
Unless otherwise indicated, all content and materials available on SGS Global LLC's platforms, including but not limited to text, graphics, website name, code, and images, are the intellectual property of SGS Global LLC and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display, or transmission of any content on this site is strictly prohibited, unless specifically authorized by SGS Global LLC. All custom creative works produced for clients remain the property of SGS Global LLC until full payment is received, at which point ownership transfers as per individual service agreements.
7. Limitation of Liability
To the maximum extent permitted by applicable law, SGS Global LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use, or alteration of your transmissions or content.
IMPORTANT NOTICE:
In no event shall the aggregate liability of SGS Global LLC exceed the greater of one hundred U.S. dollars (U.S. $100.00) or the amount you paid us, if any, in the past six months for the services giving rise to the claim. The limitations of this subsection shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence) or otherwise, and whether or not SGS Global LLC has been informed of the possibility of any such damage.
Governing Law
These Terms and Conditions and your use of the website are governed by and construed in accordance with the laws of the State of North Carolina and the United States, without regard to conflict of law principles. Any legal action or proceeding related to your access to or use of the site shall be instituted in a state or federal court in North Carolina.
